On the role of organizations in a project community ADempiere Bazaar- Pioneering the Collaboration Economy

Proposal

In order to promote the longevity of ADempiere as viable, enterprise level software, the ADempiere Council proposes the use of The ADempiere Foundation, a California non-profit corporation.

In the spirit of openness which is the greatest asset of this community, the proposal for corporate governance, membership and sponsorship are here presented for consideration and debate. Please make full use of the discussion pages for any recommendations, comments, observations that you may have. To immediately implement one of the proposed guidelines: Please make sure negative comments and criticism are accompanied by alternate proposals. This will allow the community to evaluate the practical options. As one particularly wise man expressed it, "I try not to complain unless I have a better idea."

These proposals have been heavily borrowed from the operating guidelines of the Apache Software Foundation. They have been operating successfully and productively for 8 years in that environment. We believe they capture the essence of community cooperation. We express thanks here for the contribution of these guidelines, and hope that they can prove equally beneficial in the ADempiere Bazaar.

It is proposed that the current ADempiere Council be appointed as the initial Board of Directors. The ADempiere Council requests that these guidelines be well reviewed by all and commented on, so that they can be ratified on May 31, 2007 at the ADempiere European Conference in Berlin.

Purpose

The ADempiere Foundation provides organizational, legal, and financial support for the development and enhancement of the ADempiere Open Source Business Suite. The Foundation provides an established framework for intellectual property and financial contributions that simultaneously limits contributors potential legal exposure. Through a collaborative and meritocratic development process, ADempiere projects deliver enterprise-grade, freely available software products that attract large communities of users.

The ADempiere Foundation has been incorporated as a membership-based, not-for-profit corporation in order to ensure that the ADempiere project continues to exist beyond the participation of individual volunteers. Individuals who have demonstrated a commitment to collaborative open-source software development, through sustained participation and contributions within the Foundation's projects, are eligible for membership in the AF. An individual is awarded membership after nomination and approval by a majority of the existing AF members. Thus, the AF is governed by the community it most directly serves -- the people collaborating within its projects.

The AF members periodically elect a Board of Directors to manage the organizational affairs of the Foundation, as accorded by the AF Bylaws. The Board, in turn, appoints a number of officers to oversee the day-to-day operations of the Foundation. A number of public records of our operation are made available to the community.
